PA Annual Report Rundown 2025

Annual Report Deadline Approaching for Pennsylvania LLCs
Deadline: September 30, 2025

What’s Changing

Starting in 2025, Pennsylvania requires all business entities to file an annual report with the Department of State. This includes LLCs, corporations, nonprofits, limited partnerships, and foreign entities registered to do business in PA.

Key Dates for 2025

  • June 30 – Corporations (domestic & foreign, business & nonprofit)
    • September 30 – Limited Liability Companies (domestic & foreign)
    • December 31 – All other domestic & foreign associations

Why It Matters

  • Avoid late fees and penalties
    • Maintain good standing with the state
    • Protect your business name from being claimed by another entity

What You’ll Need to File

  • Business name and jurisdiction of formation
    • Registered office address
    • At least one governor (director, manager, member, partner, etc.)
    • Names and titles of principal officers (if applicable)
    • Address of the principal office
    • PA Department of State entity number

Online Filing Fees
